1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," the "Customer," or the "HOA"), and AcutelyAI ("we," "us," or "our"), concerning your access to and use of the acutelyai.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Service").

By accessing the Service, you agree that you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree with all of these terms, then you are expressly prohibited from using the Service and must discontinue use immediately.

2. Account Registration and Access

To use the Service, you must create an account. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

You are responsible for ensuring that all persons who access the Service through your organization's account are aware of these Terms of Service and comply with them. You are responsible for all acts and omissions of your users.

3. Subscriptions, Trials, and Billing

We offer three subscription tiers: Essentials, Professional, and Complete. By subscribing, you agree to pay the fees associated with your chosen tier.

7-Day Free Trial: All new organizations receive a 7-day free trial. No credit card is required to begin the trial. During this period, you have access to the features of your selected tier.
Trial Expiration: Upon expiration of the 7-day trial, your access to the dashboard and its features will be locked until you enter valid payment information and activate a paid subscription. You will receive email reminders prior to and upon expiration.
Billing and Payments: All payments are processed securely via Razorpay in USD. By providing a payment method, you authorize us (via Razorpay) to charge the applicable subscription fees on a recurring basis (e.g., monthly) until you cancel your subscription.
Cancellation: You may cancel your subscription at any time through the billing dashboard. Upon cancellation, you will retain access to the Service until the end of your current billing cycle. No refunds are provided for partial months.
Upgrades and Downgrades: If you upgrade or downgrade your tier, your billing will be prorated automatically based on the time remaining in your current billing cycle.

4. Acceptable Use Policy

You may not access or use the Service for any purpose other than that for which we make the Service available. You agree not to:

Systematically retrieve data or other content from the Service to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
Circumvent, disable, or otherwise interfere with security-related features of the Service.
Attempt to bypass any measures of the Service designed to prevent or restrict access to the Service, or any portion of the Service.
Upload or transmit viruses, Trojan horses, or other material that interferes with any party's uninterrupted use and enjoyment of the Service.
Use the Service in a manner inconsistent with any applicable laws or regulations.

5. Data Ownership and Privacy

You retain all right, title, and interest in and to the data, documents, and content you upload to the Service ("Customer Data"). You grant us a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, and display Customer Data solely for the purpose of providing the Service to you.

Our collection and use of personal data in connection with your access to and use of the Service is described in our Privacy Policy.

6. Artificial Intelligence (AI) Disclaimer

The Service utilizes generative AI models (specifically Google Gemini) to provide features such as document summarization, natural language search (RAG), and compliance checking of architectural requests.

Important: AI-generated outputs are for informational and administrative assistance purposes only. They do not constitute legal, professional, or definitive advice. You are solely responsible for reviewing and verifying the accuracy, completeness, and applicability of any AI-generated output before relying on it or taking any action, including approving or denying architectural requests. AcutelyAI shall not be liable for any errors, omissions, or consequences arising from your reliance on AI-generated outputs.

7. Service Availability and Support

We strive to ensure the Service is available 24 hours a day, 7 days a week. However, we do not guarantee uninterrupted access. We may experience hardware, software, or other problems, or need to perform maintenance related to the Service, resulting in interruptions, delays, or errors. We will use commercially reasonable efforts to notify you in advance of scheduled maintenance.

Support is provided via email based on your subscription tier. Complete tier customers receive priority email and phone support.

8. Limitation of Liability

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Service, even if we have been advised of the possibility of such damages.

9. Termination

These Terms of Service shall remain in full force and effect while you use the Service. We reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Service, to any person for any reason, including without limitation for breach of any representation, warranty, or covenant contained in these Terms of Service or of any applicable law or regulation.

Upon termination of your account, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

We may update or modify these Terms of Service from time to time. The updated version will be indicated by an updated "Last updated" date. We will notify you of any material changes by posting the new Terms on the site or via email. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
